1. Agreement to These Terms

These Member / User Terms & Conditions (“Terms”) form a binding agreement between you (“you” or “User”) and Worldwide Classifieds Inc., doing business as “Worldwide Classifieds” (“Worldwide Classifieds,” “we,” “us,” or “our”).

By accessing, browsing, registering for, or using the Worldwide Classifieds website or any related applications, services, or tools (collectively, the “Platform”), you:

Confirm that you have read, understand, and agree to be bound by these Terms; and
Agree to our Privacy Policy and all other policies, rules, guidelines, and addenda referenced in or incorporated into these Terms (together, the “Platform Policies”).

If you do not agree, you must not access or use the Platform.

You represent and warrant that:

You are at least 18 years old (or the age of majority where you live, if higher).
You are legally able to enter into contracts.
You are not barred from using the Platform under applicable law.

2. Defined Terms

For purposes of these Terms:

“PLATFORM” MEANS THE WORLDWIDE CLASSIFIEDS WEBSITE, RELATED APPLICATIONS, AND ANY SERVICES, TOOLS, OR FEATURES PROVIDED BY WORLDWIDE CLASSIFIEDS.

“USER” OR “MEMBER” MEANS ANY PERSON OR ENTITY THAT ACCESSES, BROWSES, REGISTERS FOR, OR USES THE PLATFORM IN ANY CAPACITY (INCLUDING BUYERS, SELLERS, ADVERTISERS, AND FORUM PARTICIPANTS).

“LISTING” MEANS ANY ADVERTISEMENT, OFFER, AUCTION, SHOP ITEM, SERVICE OFFERING, PUBLIC NOTICE, OR OTHER CONTENT POSTED ON OR THROUGH THE PLATFORM FOR TRANSACTIONAL OR INFORMATIONAL PURPOSES.

“REGULATED LISTINGS” MEANS LISTINGS THAT INVOLVE GOODS OR SERVICES SUBJECT TO SPECIAL LEGAL OR REGULATORY REQUIREMENTS, INCLUDING (WITHOUT LIMITATION) FIREARMS, AMMUNITION, WEAPONS, ADULT PRODUCTS AND CONTENT, CANNABIS AND HEMP-DERIVED PRODUCTS, LEGAL SERVICES, AND PUBLIC/LEGAL NOTICES.

“CONTENT” MEANS ALL TEXT, IMAGES, GRAPHICS, DATA, DESCRIPTIONS, MESSAGES, REVIEWS, AND OTHER MATERIALS THAT A USER SUBMITS, POSTS, UPLOADS, OR OTHERWISE MAKES AVAILABLE ON OR THROUGH THE PLATFORM.

“PLATFORM POLICIES” MEANS THESE TERMS AND ALL ADDITIONAL POLICIES, ADDENDA, RULES, GUIDELINES, AND PROCEDURES REFERENCED IN OR INCORPORATED INTO THESE TERMS, AS UPDATED FROM TIME TO TIME.

“CALIFORNIA COMMERCIAL CODE” MEANS THE CODIFIED VERSION OF THE UNIFORM COMMERCIAL CODE AS ADOPTED AND IN FORCE IN THE STATE OF CALIFORNIA (CAL. COM. CODE § 1101 ET SEQ.), AS AMENDED FROM TIME TO TIME.

Other capitalized terms used in these Terms have the meanings given to them in context.

3. Description of the Platform

Worldwide Classifieds operates an online marketplace and classifieds platform that allows Users to, among other things:

Create and manage online shops;
Run auctions (including traditional, Dutch, reverse, first-bidder, and buy-now formats);
Post and respond to classified advertisements, including (where lawful):
- General classifieds
- Adult Classifieds
- Legal Services
- Public Notices
Buy, sell, trade, or offer goods and services;
Participate in community forums, comments, ratings, and private messaging;
List certain Regulated Listings, including adult products, cannabis-related products, and firearms or firearm accessories, where lawful.

Unless we expressly state otherwise in writing, Worldwide Classifieds is not a party to any transaction between Users. We do not take possession of goods, do not control shipment, and do not guarantee any transaction or outcome.

4. User Responsibility for Legal Compliance

It is the User’s responsibility to know and comply with all laws in their jurisdiction. Worldwide Classifieds will not be held liable for any User transgressions or violations of law.

You are solely responsible for determining:

Whether a Listing, purchase, sale, or other activity on the Platform is legal where you and the other party are located;
What licenses, permits, or authorizations you may need; and
Any restrictions or prohibitions that apply to your activities.

If you are unsure about the legality of any activity, you must consult with an appropriate professional advisor (such as an attorney) before using the Platform for that activity.

5. Eligibility, Registration & Account Security

5.1 Registration

To use most features, you must create a member account. You agree to:

Provide accurate, current, and complete registration information;
Keep your information updated;
Maintain the confidentiality of your login credentials; and
Immediately notify us of any unauthorized use of your account.

You are responsible for all activity that occurs under your account, whether or not authorized by you.

5.2 Account Limitations

You may not:

Create accounts for the purpose of circumventing bans, limits, or suspensions;
Impersonate another person or entity;
Share or sell your account.

We may suspend or close accounts at our discretion, including for suspected fraud, abuse, legal risk, security concerns, or violation of these Terms or any Platform Policies.

6. General User Conduct

You agree that you will not use the Platform to:

Violate any law or regulation, including those governing:
- Consumer protection
- Firearms and weapons
- Adult content and obscenity
- Cannabis and controlled substances
- Advertising and professional conduct (including legal services)
Post, list, or promote:
- Illegal items or services
- Stolen, counterfeit, or fraudulently obtained goods
- Items whose sale is prohibited or restricted in your or the buyer’s jurisdiction;
Mislead or defraud other Users (e.g., misrepresent an item, engage in bid shilling or price manipulation, falsify identity or credentials);
Harass, threaten, defame, or abuse others, or engage in hate speech or discriminatory conduct;
Send spam, scams, or deceptive or malicious communications;
Infringe or misuse another party’s intellectual property or privacy rights;
Interfere with or attempt to bypass Platform security, integrity, or operations (including hacking, scraping, or DDoS attacks).

We may remove Content, suspend Listings, or restrict or terminate accounts if we believe a violation has occurred or if necessary to protect other Users or our business.

7. Prohibited & Regulated Content

You are responsible for complying with all laws in every jurisdiction relevant to your Listing, sale, purchase, or use of the Platform.

“Regulated Listings” include (without limitation):

Adult products and Adult Classifieds;
Cannabis and hemp-derived products;
Firearms, ammunition, and weapons;
Legal services and professional offerings;
Public and legal notices.

7.1 Adult Products & Adult Classifieds

Adult-related Content and products may be allowed only if:

Both the listing User and the viewing/buying User are at least 18 years old (or higher age where required);
Content complies with all applicable obscenity, labeling, advertising, and age-verification laws;
No Listing involves prostitution, explicit offers of sexual acts for compensation, or other illegal services;
Absolutely no Content involves minors, simulated minors, non-consensual acts, or exploitation.

Additional requirements and restrictions are set out in the Adult Content Compliance Policy and Adult Verification Procedure, which are incorporated into these Terms by reference.

7.2 Cannabis & Hemp-Derived Products

Listings involving cannabis, marijuana, hemp, CBD, or related products must:

Comply with all federal, state, and local laws in both the seller’s and buyer’s jurisdictions;
Not involve interstate shipment of marijuana where prohibited;
Not make unapproved medical or therapeutic claims;
Clearly state THC, CBD, and other required labeling information, as applicable.

Worldwide Classifieds does not handle, store, or ship cannabis products, and does not verify license status. See the Cannabis Sale Disclosure for more detail.

7.3 Firearms, Ammunition & Weapons

Users listing firearms, ammunition, or weapons must:

Comply with all applicable federal, state, and local firearm and weapon laws;
Use licensed FFL transfers where required;
Verify age and eligibility of buyers as required by law;
Observe restrictions on specific weapons, magazines, accessories, or locations;
Accurately describe make, model, condition, and legal status of each item;
Follow all shipping and hazardous-material rules.

Worldwide Classifieds does not take possession of, ship, or store firearms or ammunition. All legal compliance obligations rest with the seller and buyer. Additional obligations and conditions are set out in the Firearms Seller Addendum, Firearm Buyer Agreement, and FFL Compliance Checklist, which are incorporated here by reference.

7.4 Legal Services & Public Notices

Users offering legal services or posting public/legal notices must:

Hold and accurately represent any required licenses or professional credentials;
Comply with applicable bar or professional advertising and solicitation rules;
Avoid creating an attorney-client relationship through Platform forums or messaging unless permitted and properly documented elsewhere;
Not provide unauthorized legal services in jurisdictions where they are not admitted.

Legal information posted on the Platform (including in forums) is general in nature and must not be relied upon as individualized legal advice.

8. Listings, Auctions, Shops & Transactions

8.1 Listings

When you create a Listing, you agree to:

Provide truthful, accurate, and complete descriptions;
Clearly disclose pricing, shipping costs, taxes (if applicable), and any material conditions or limitations;
Only list items or services you are legally permitted to offer.

Misleading or deceptive Listings, including “bait-and-switch” offers, are prohibited.

8.2 Auctions & Bidding

When you place a bid in an auction, you are making a binding offer. If you are the winning bidder under the auction rules, you agree to complete the transaction except where prohibited by law or where a clear system error has occurred.

Sellers agree to:

Honor valid auction results;
Not engage in bid shilling, bid shielding, or artificial price inflation;
Clearly specify any reserves or special terms in the Listing.

8.3 Shops & Storefronts

Users who operate shops or storefronts on the Platform must:

Provide clear and conspicuous information on pricing, shipping, and applicable taxes;
Maintain and display their refund / return policy (or clearly state if all sales are final, where permitted by law);
Comply with consumer protection laws for their jurisdiction and their buyers’ jurisdictions.

Where a seller does not provide a refund / return policy, purchases may be considered final, except where the law requires otherwise.

8.4 Payments, Taxes & Chargebacks

Payments on the Platform may be processed by third-party payment processors or through integrated payment solutions.

You agree that:

We may use third-party processors under their own terms and privacy policies;
Payment disputes, chargebacks, or reversals may result in suspension of your account or Listings;
You are responsible for any taxes (sales, VAT, use tax, etc.) applicable to your transactions.

We are not responsible for delays, losses, or disputes arising from payment processors or financial institutions.

8.5 California Commercial Code & Transactions in Goods

To the extent any transaction conducted through the Platform involves a sale of goods between Users, and to the extent not inconsistent with these Terms, the Selling Process – Terms & Conditions and the parties’ rights and obligations with respect to formation of the contract, warranties (express or implied), risk of loss, remedies, and other issues concerning the sale of goods are intended to be interpreted with reference to the California Commercial Code.

Nothing in this Section:

Makes Worldwide Classifieds a party to any transaction between Users; or
Expands any duty or liability of Worldwide Classifieds beyond what is expressly stated in these Terms and the Platform Policies.

The buyer and seller are solely responsible for understanding how the California Commercial Code (or other applicable commercial law) applies to their particular transaction.

9. Fees & Billing

We may charge listing fees, subscription fees, transaction fees, promotional fees, or other charges as described in our then-current Fee Schedule.

Unless expressly stated otherwise:

Fees are non-refundable to the maximum extent allowed by law;
We may change our fees at any time, with updated fees taking effect when posted to the Platform or as otherwise stated;
Your continued use of the Platform after fee changes constitutes acceptance.

10. Forums, Messaging & Communication Tools

The Platform may provide:

Public or semi-public forums and discussion boards;
Private or direct messaging;
Ratings, reviews, and other interactive features.

You agree to:

Use these features respectfully and lawfully;
Not harass, threaten, defame, or abuse others;
Not post misleading legal, medical, firearms, or cannabis-related advice;
Not share sensitive personal information of others without their consent.

We may moderate, edit, or remove Content, and we may suspend or terminate accounts for repeated or serious violations. However, we do not commit to monitoring all Content, and you understand that other Users’ posts are their own and not endorsed by us.

11. Intellectual Property

11.1 Our Rights

All content that we create or provide on the Platform—including our name, logo, branding, software, design, text, and graphics—is owned by or licensed to Worldwide Classifieds and is protected by intellectual property laws.

You may not use our trademarks, trade dress, or copyrighted materials except as allowed by law or with our prior written consent.

11.2 Your Content

You retain ownership of Content you submit or post (for example, Listings, photos, descriptions, forum posts), but you grant Worldwide Classifieds a non-exclusive, worldwide, royalty-free, sublicensable license to host, display, distribute, reproduce, and technically modify your Content as necessary to operate and improve the Platform.

You represent and warrant that you have the right to grant this license and that your Content does not infringe any third-party rights.

12. Third-Party Services

The Platform may integrate or connect with services provided by third parties (for example, payment processors, shipping carriers, identity verification providers, analytics services).

Your use of such services may be governed by those third parties’ terms and privacy policies. Worldwide Classifieds is not responsible for failures, disputes, or losses caused by third-party services.

13. Disclaimers

To the maximum extent permitted by law:

The Platform and all services are provided “as is” and “as available.”
We do not guarantee:
- Any specific sales volume, visibility, or outcomes;
- The identity, credibility, or qualifications of any User;
- The legality, quality, safety, authenticity, or accuracy of any Listing or item;
- That the Platform will be uninterrupted, error-free, secure, or virus-free.
We do not provide legal, firearms, cannabis, or professional advice. Any information on the Platform is for general informational purposes only.

You use the Platform at your own risk.

14. Limitation of Liability

To the fullest extent allowed by law, Worldwide Classifieds and its officers, directors, employees, agents, and affiliates are not liable for:

Lost profits, revenue, business, or data;
Indirect, incidental, special, consequential, or punitive damages;
Claims arising from User Content, User conduct, or transactions between Users;
Losses or damages resulting from delays, errors, system outages, unauthorized access, or security breaches.

In any case, our total liability to you for all claims arising out of or related to the Platform or these Terms will not exceed the greater of:

The total fees you paid to Worldwide Classifieds in the 12 months prior to the event giving rise to the claim; or
US $100.

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Worldwide Classifieds, its officers, directors, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your use of or access to the Platform;
Your Listings, Content, or transactions;
Your dealings involving Regulated Listings (including adult products, cannabis, firearms, and legal services);
Your violation of these Terms or any Platform Policies;
Your infringement of any third-party right.

16. Dispute Resolution, Arbitration & Class Action Waiver

16.1 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to:

These Terms,
The Platform, or
Your relationship with Worldwide Classifieds,

will be resolved by binding arbitration administered by the American Arbitration Association (AAA) in Los Angeles, California, using its applicable rules.

You and Worldwide Classifieds waive the right to a jury trial in any court proceeding.

16.2 Class & Representative Actions Waiver

Disputes must be brought individually, and not as a plaintiff or class member in any purported class, collective, or representative action.

The arbitrator may not consolidate or join claims of different Users or preside over any form of representative or class proceeding.
